These Terms of Service ("Terms") govern your use of Client Social's website and the digital marketing services we provide. By engaging our services or using our website, you agree to these Terms. If you're using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

About Our Services
Client Social is a digital marketing agency headquartered in Tampa, Florida. We provide services including:
- Web Design & Development — custom websites built for performance and conversion.
- Search Engine Optimization (SEO) — on-page and off-page optimization to improve organic rankings.
- Search Engine Marketing (SEM) — paid search campaigns on Google, Bing, and other platforms.
- Content Marketing — blog posts, landing pages, and content strategy to attract and convert visitors.
- Social Media Marketing — paid and organic social campaigns on Meta, Instagram, and related platforms.
The specific services, scope, and deliverables for your engagement are defined in your individual client agreement or statement of work. These Terms apply to all services unless your agreement states otherwise.

Payment Terms
Payment terms — including fees, billing schedules, and late payment policies — are specified in your individual client agreement. By accepting a proposal or signing a service agreement, you agree to the payment terms set out in that document.
Unless otherwise stated in your agreement, invoices are due upon receipt. We reserve the right to pause or discontinue services on accounts with outstanding balances.

Intellectual Property
Pre-existing work: Any tools, templates, frameworks, processes, or intellectual property that Client Social developed prior to or independently of your engagement remain the sole property of Client Social. We may use these across multiple client projects.
Deliverables: Upon receipt of full payment for a project, Client Social assigns to you ownership of the custom deliverables created specifically for your engagement — such as your website, ad creative, and written content — except where those deliverables incorporate our pre-existing proprietary assets.
Third-party assets: Deliverables may include licensed stock imagery, fonts, or software. Your use of those assets is governed by the applicable third-party licenses, which we'll identify in your project documentation.
Your content: You retain ownership of any content, trademarks, logos, or materials you provide to us. You grant Client Social a limited license to use your materials solely to perform the agreed services.

Results Disclaimer
Results described on our website and marketing materials are from real clients. Individual results vary and are not guaranteed. Digital marketing outcomes depend on many factors — including your industry, market, budget, and the quality of your offering — that are outside our direct control.
We commit to applying industry best practices and our full professional effort to every engagement, but we do not guarantee specific rankings, traffic levels, lead volumes, or revenue outcomes.

Limitation of Liability
To the fullest extent permitted by applicable law, Client Social's total liability for any claim arising from or related to our services will not exceed the total fees paid by you to Client Social in the three (3) months immediately preceding the claim.
In no event will Client Social be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or loss of data — even if we have been advised of the possibility of such damages.
This limitation applies regardless of the legal theory under which the claim is brought (contract, tort, strict liability, or otherwise).

Dispute Resolution
We'd always rather talk it out first. If you have a concern, please contact us at hello@client.social and give us a reasonable opportunity to resolve it before escalating.
If a dispute cannot be resolved informally, it will be settled by binding arbitration administered by a mutually agreed-upon arbitrator under the rules of the American Arbitration Association (AAA), Commercial Arbitration Rules. The arbitration will take place in Hillsborough County, Florida, and will be conducted in English.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. Any claims not subject to arbitration will be brought exclusively in the state or federal courts located in Hillsborough County, Florida.
Class action waiver: You agree to resolve any disputes individually and waive any right to bring claims as a plaintiff or class member in any class or representative action.

DMCA Policy
Client Social respects intellectual property rights and expects users of our website and services to do the same. If you believe that content on our website infringes your copyright, please send a notice to our designated DMCA agent with the following information:
- A description of the copyrighted work you claim has been infringed.
- The URL or location of the allegedly infringing content on our site.
- Your contact information (name, address, telephone, email).
- A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
- Your physical or electronic signature.

We may update these Terms from time to time. When we do, we'll update the effective date at the top of this page. If changes are material, we'll make reasonable efforts to notify active clients. Continued use of our services after updated Terms are posted constitutes your acceptance.
